Option Plan

February 26, 2015 – Vancouver, BC Shoshoni Gold Ltd. (TSX.V:SHJ) (the “Company”) announces the adoption of a new “rolling 10%” Stock Option Plan (the “New Plan”), which was approved by the Board of Directors (the “Board”) on February 25, 2015. The New Plan replaces and supersedes the Company’s previous fixed number stock option plan that was originally adopted in 2013. The New Plan must be approved by the shareholders and re-approved on an annual basis by the shareholders at each annual general meeting of the Company as required by the policies of the TSX Venture Exchange. The next annual and special general meeting of shareholders of the Company will be held on March 27, 2015.

Alteration of Articles

The Company also announces that it proposing the amendment of the Company's Articles to implement advance notice provisions (the “Advance Notice Provisions”) for the nomination of directors. The purpose of the Advance Notice Provisions is to provide shareholders, directors and management of the Company with a clear framework for nominating directors of the Company. The Company is committed to: (i) facilitating an orderly and efficient annual general or, where the need arises, special meeting, process; (ii) ensuring that all shareholders receive adequate notice of the director nominations and sufficient information regarding all director nominees; and (iii) allowing shareholders to register an informed vote after having been afforded reasonable time for appropriate deliberation. The Advance Notice Provisions are intended to further these objectives.

The Advance Notice Provisions, among other things, include a provision that requires advance notice to the Company in certain circumstances where nominations of persons for election to the Board are made by shareholders of the Company. The Advance Notice Provisions fix a deadline by which director nominations must be submitted to the Company prior to any annual or special meeting of shareholders and sets forth the information that must be included in the notice to the Company. No person will be eligible for election as a director of the Company unless nominated in accordance with the Advance Notice Provisions. In the case of an annual meeting of shareholders, notice to the Company must be made not less than 30 days and not more than 65 days prior to the date of the annual meeting; provided, however, that, in the event that the annual meeting is to be held on a date that is less than 50 days after the date on which the first public announcement of the date of the annual meeting was made, notice may be made not later than the close of business on the 10th day following such public announcement. In the case of a special meeting of shareholders called for the purpose of electing directors (whether or not called for other purposes), notice to the Company must be made not later than the close of business on the 15th day following the day on which the first public announcement of the date of the special meeting was made.

The Advance Notice Provisions will be effective upon confirmation by the Company’s shareholders and are subject to receipt of Exchange approval. The Company will ask its shareholders to pass a special resolution to confirm the alteration of the Company’s Articles at its upcoming Annual and Special General Meeting on March 27, 2015. In the event the Company’s shareholders do not confirm the addition of the Advance Notice Provisions to the Company’s Articles, the Advance Notice Provisions will not be adopted in the Company’s Articles.

In addition, shareholders will be asked to pass a special resolution to approve the alteration of the Company’s Articles to provide the Company’s Board with the authority to approve any change in the Company’s name as well as provide the Board of the Company with the ability to amend the alteration provisions of its Articles to permit the directors to approve a subdivision or consolidation of all or any of the Company’s unissued, or fully paid issued, shares without further Shareholder approval.
