Annual and Special General Meeting Results

July 12, 2016 – Vancouver, BC Shoshoni Gold Ltd. (TSX.V:SHJ) (the “Company”) shareholders approved all the resolutions put before them at the Company’s Annual and Special General Meeting (the “ASGM”) held on July 11 2016. At the ASGM shareholders voted to set the number of directors at four; to elect Glen C. Macdonald, Stephen Kubota, Ken Ralfs and Carol MacDonald as directors for the ensuing year; to reappoint Wolridge Mahon LLP as the Company’s auditors for the ensuing year and to authorized the directors to fix the auditor’s remuneration; and to approve the Company’s Stock Option Plan. The Board of Directors of the Company (the “Board”) welcomes Ms. MacDonald to the Board. Carol MacDonald is a Vancouver based business woman that has acted as a director of several resource issuers.

In addition, Shareholders passed a special resolution to approve the alteration of the Company’s Articles to provide the Board with the authority to approve any change in the Company’s name as well as provide the Board with the ability to amend the alteration provisions of its Articles to permit the directors to approve a subdivision or consolidation of all or any of the Company’s unissued, or fully paid issued, shares without further Shareholder approval and also to add a provision that requires advance notice to the Company in circumstances where director nominations are made by shareholders of the Company other than pursuant to a proposal or a requisition of shareholders made in accordance with the Business Corporations Act (British Columbia). Among other things, the advance notice provision fixes a deadline by which holders of record of common shares of the Company must submit director nominations to the Company prior to any annual or special meeting of shareholders and sets forth the information that a shareholder must include in the notice to the Company. In the case of an annual meeting of shareholders, notice to the Company must be made not less than 30 days and not more than 65 days prior to the date of the annual meeting; provided, however, that in the event that the annual meeting is to be held on a date that is less than 50 days after the date on which the first public announcement of the date of the annual meeting was made, notice may be made not later than the close of business on the 10th day following such public announcement. In the case of a special meeting of shareholders (which is not also an annual meeting), notice to the Company must be made no later than the close of business on the 15th day following the day on which the first public announcement of the date of the special meeting was made. The advance notice provision provides a clear process for shareholders to follow for director nominations and sets out a reasonable time frame for nominee submissions and the provision of accompanying information. The purpose of the advance notice provision is to treat all shareholders fairly by ensuring that all shareholders receive adequate notice of the nominations to be considered at a meeting and can thereby exercise their voting rights in an informed manner. In addition, the advance notice provision should assist in facilitating an orderly and efficient meeting process.

The Board believes that having the ability to amend the Articles will enable the Company to operate on a more efficient, flexible and cost-efficient basis.

Shareholders also passed a special resolution which provides the Board with the ability to proceed with a share consolidation on the basis of a ten (10) pre-consolidated common shares for one (1) post-consolidated common share. The Company plans to proceed with a consolidation of its common shares. The Company does not intend to change its name in conjunction with the consolidation. There are currently approximately 90,061,500 common shares outstanding. A consolidation on a 10 for one basis would reduce the number of common shares outstanding to approximately 9,006,150. The Board of Directors would like to thank the shareholders for their ongoing support.

The stock option plan, the above-noted amendments to the Articles and the proposed share consolidation are subject to receipt of TSX Venture Exchange (the “TSXV”) approval. The alteration to the Company’s Articles is effective upon receipt TSXV approval. Upon the issuance of TSXV approval, a copy of the amended Articles will be filed under the Company’s SEDAR profile.

Subsequent to the ASGM, the Board approved the appointment of Glen Macdonald as President and Chief Executive Officer. Christopher P. Cherry will assume the role of Chief Financial Officer previously held by Mr. Macdonald. Mr. Cherry has over 14 years of corporate accounting and audit experience. Mr. Cherry has extensive corporate experience and has held senior level positions for several public mining companies including Director, Chief Financial Officer, and Secretary. Mr. Cherry has been a Chartered Accountant since February 2009 and a Certified General Accountant since 2004. In his former experience as an auditor, he held positions with KPMG and Davidson and Co. LLP in Vancouver, where he gained experience as an auditor for junior public companies, and an IPO specialist.

ON BEHALF OF THE BOARD

"Glen C. Macdonald"
