Golden Sky Announces Warrant Amendment and Granting of Stock Options

Vancouver, Dec 5, 202 2 – Golden Sky Minerals Corp. (AUEN.V) (the “Company” or “Golden Sky”)

announces that , subject to TSX Venture Exchange approval, it has extended the terms of an aggregate

of 13,660,460 common share purchase warrants (the “Warrants ”) to December 18, 2024. The Warrants

were issued pursuant to the following private placement financings:

December 18, 2019: 4,918,299 share purchase warrants exercisable at $0. 45 per share

December 31, 2020: 1,487,777 share purchase warrants exercisable at $0. 45 per share; and

July 20, 2021: 7,254,384 share purchase warrants exercisable at $0. 45 per share.

In addition, the Company announces that the Board of Directors has approved the issuance of incentive

stock options to purchase an aggregate of 390,000 common shares to directors, officers and consultants

to the Company. The options have a term of five years, with an exercise price per share of C$0.20 per

share and vest immediately.
