RESOLVE  VENTURES  PROCEEDS  WITH  DEBT  SETTLMENT  TRANSACTION  

VANCOUVER,   BRITISH   COLUMBIA  –  March   12,   2018  –  Resolve   Ventures   Inc.   (TSX-­‐V:   RSV)  

(the  “Company”)  announces  that  it  has  entered  into  debt  settlement  agreements  with  certain  arm’s  

length   third   parties   pursuant   to   which   the   Company   has   agreed   to   issue   an   aggregate   of  3,375,482  

common  shares  at  a  deemed  price  of  $0.075  per  common  share  (the  "Transaction”).    The  amount  of  

indebtedness   settled   by   the   Transaction   is  $253,161.15.    The   Company   determined   to   satisfy   this  

outstanding  indebtedness  with  shares  as  it  has  no  immediate  source  of  cash.  

The  Transaction   is   subject   to   TSX   Venture   Exchange   approval.     All   shares   issued   pursuant   to   the  

Transaction  are  subject  to  four-­‐month  and  one-­‐day  hold  period.
