RESOLVE VENTURES EXTENDS CLOSING TIME OF PRIVATE PLACEMENT
VANCOUVER, BRITISH COLUMBIA – OCTOBER 22, 2019 – Resolve Ventures Inc. (TSX-V: RSV) (“Resolve” or the
“Company”) announces that, further to its news release on September 3, 2019, it is extending the time by 30
days in which to close its non-brokered private placement. The private placement consists of up to 4,000,000
units (the “Units”) at a price of $0.075 per Unit for gross proceeds of up to $300,000.
Each Unit consists of one common share (a “Share”) and one-common share purchase warrant (a “Warrant”).
Each Warrant is exercisable into a common share of the Issuer (a “ Warrant Share”) at a price of $0.09 per
Warrant Share for a period of five years from issuance.
Net proceeds from the private placement will be used for general working ca pital. All securities issued in
connection with the private placement will be subject to a statutory hold period of four months. The Company
may be paying finder’s fees up to the amount permitted by the TSX Venture Exchange policies.
Completion of the private placement is subject to the receipt of all necessary corporate and regulatory
approvals, including approval of the TSX Venture Exchange.
