RESOLVE VENTURES CLOSES PRIVATE PLACEMENT
VANCOUVER, BRITISH COLUMBIA – MARCH 21 , 2019 – Resolve Ventures Inc. (TSX -V: RSV)
(the “Company”) is pleased to announce it has closed a non-brokered private placement financing
(the “Private Placement”) for total gross proceeds of $199,999.80
The Company has allotted and issued 2,666,664 units (the “Units”) at a price of $0.075 per Unit. Each
Unit i s comprised of one common share and one transferable warrant, with each warrant entitling
the holder to purchase one additional common share of the Company for a period of up to sixty
months at a price of $0.10.
The Company intends to use the majority of t he proceeds from the Private Placement towards
general working capital. The Private Placement is subject to TSX Venture Exchange approval and all
securities issued will be subject to a hold period expiring July 23, 2019.
