AURANIA DIRECTORS RECEIVE OPTIONS IN LIEU OF FEES AND CEO PROVIDES

ANNUAL LETTER TO SHAREHOLDERS

Toronto, Ontario, January 2, 2024 – Aurania Resources Ltd. (TSXV: ARU; OTCQB: AUIAF;

Frankfurt: 20Q) (“Aurania” or the “Company”) announces that a letter to shareholders from Chairman,

President & CEO, Keith Barron, is now available on the Company website. Aurania also announces that

its directors received their quarterly director fees in the form of stock options in lieu of cash for the period

ended December 31st.

As stated in the press release dated April 12, 2023, directors of the Company agreed to receive their director

fees for 2023 in the form of stock options in lieu of cash for each quarterly period. On December 29, 2023,

each director was granted 19,800 stock options at an exercise price of $0.31 in lieu of their director fees for

Q4 2023. An aggregate of 79,200 stock options were granted. The stock options will be exercisable for

three years and will vest immediately.
