Appointment of Auditors
Davidson & Company LLP were reappointed as Auditors of the Company and the Directors were

Omnibus Plan
Shareholders approved the adoption of the Company's Omnibus Equity Incentive Plan by ordinary
resolution, as more particularly described in the accompanying Circular. The votes were cast as follows:

The Omnibus Plan replaces the Company's existing stock option plan and restricted share unit plan.

by the TSX Venture Exchange ("TSXV").
