Altiplano Updates Status on Late Filing of Financial Statements
EDMONTON AB, August 21, 2025 – Altiplano Metals Inc. (TSXV: APN) (WKN: A2JNFG) (“Altiplano” or the
“Company”) further to the Company’s news release s dated July 24, 2025, and August 8 , 2025, the
Company continues to work towards the filing of its annual audited financial statements fand MD&A for
the fiscal year ended March 31, 2025 (the “Required Filings”). The delay is due to the Company’s and its
auditors’ joint assessment of the time required to complete the remaining audit procedures and the
auditors’ review process, as well as the delayed receipt of financial information from Altiplano’s Chilean
subsidiaries. A ll required documentation has now been received from Altiplano’s Chilean subsidiaries ,
and partner review is expected to commence early next week. According to the auditors, approximately
95% of the audit process has been completed. The pace of the audit has been slightly delayed due to staff
holidays. The auditors have submitted additional queries to Altiplano, which the company has promptly
addressed or is in the process of responding to. The Required Filings are anticipated to be completed on
or before August 29, 2025.
The Required Filings were due to be filed by July 29, 2025. In connection with the anticipated delays in
making the Required Filings, the Company made an application for a Management Cease Trade Order
(“MCTO”) under National Policy 12 -203 Management Cease Trade Orders (“NP 12-203”) to the Alberta
Securities Commission, as principal regulator for the Company, and the MCTO was issued on July 30, 2025.
The MCTO restricts all trading by the Company’s CEO and CFO in securities of the Company, whether direct
or indirect. The issuance of the MCTO will not affect the ability of persons who are not directors, officers
or insiders of the Company to trade their securities. The MCTO will remain in effect until the Requ ired
Filings are filed or until it is revoked or varied.
It is expected that the interim financial statements , and management’s discussion and analysis for the
period ended June 30, 2025, will be filed within the required timeframe.
Both the Company and its auditors are working diligently towards the completion and filing of the
Required Filings, and the Company will provide additional updates.
The Company confirms that it intends to satisfy the provisions of the alternative information guidelines
described in NP 12 -203 by issuing bi -weekly default status reports in the form of a news release until it
meets the Required Filings requirement. The Company has not taken any steps towards any insolvency
proceeding and the Company has no material information relating to its affairs that has not been generally
disclosed.
