Altiplano Closes Private Placement
EDMONTON, December 24th, 2024 – Altiplano Metals Inc. (TSXV: APN) (WKN: A2JNFG) (“Altiplano” or the
“Company”) is pleased to announce that it closed its previously announced non -brokered private
placement (the "Offering") for gross proceeds of $500,000. The Offering consisted of 10,000,000 units
(the "Units") at C$0.05 per Unit. Each Unit consists of one (1) common share and one half (1/2) non -
transferable share purchase warrant (the "Warrants") of the Company.
Each whole Warrant entitles the holder thereof to acquire one half (1/2) Common Share (each, a “Warrant
Share”) for an exercise price of $0.075 per Common Share for 24 months after the Closing Date provided
that if the closing market price for the Company's common shares is equal to or greater than C$0.10 per
share for a period of five (5) consecutive trading days at any point after the first 4 months of the term (the
“Acceleration Clause”), then the Company may deliver a notice that the Warrants must be ex ercised
within thirty (30) days from the date of delivery of such Notice, otherwise the Warrants will expire at 4:30
p.m. (Vancouver time) on the thirty-first (31st) day after the date of delivery of the Notice.
Altiplano has paid finders’ fees of $7,770 in cash to an eligible finder for certain of the Units sold , all in
accordance with the policies of the TSX Venture Exchange.
All securities issued are subject to a hold period until April 25, 2025. The gross proceeds from the sale of
the Units will be utilized to fund exploration and development of the Company’s, and for general working
capital.
The subscriptions by insiders of the Company for a portion of the Private Placement are a related party
transaction for the purposes of Multilateral Instrument 61-101 Protection of Minority Security Holders in
Special Transactions (“MI 61-101”), but the Company is relying on exemptions from the formal valuation
and minority shareholder approval requirements provided under sections 5.5(a) and 5.7(1)(a) of MI 61 -
101 on the basis that the fair market value of the subscriptions, insofa r as it involves the insid er of the
Issuer, does not exceed 25% of the market capitalization of the Issuer, as determined in accordance with
MI 61-101.
