NEWS RELEASE

March 30, 2010 SYMBOL – CQZ.P

CRITICAL CAPITAL CORPORATION PROVIDES UPDATE ON ITS ACQUISITION OF CASTLE PEAK MINING LTD.

Critical Capital Corporation (“Critical”) a Vancouver based Capital Pool Company listed on the TSX Venture Exchange (the “Exchange”) announces that further to its news release dated March 24, 2010, whereby it announced that Castle Peak’s right to the Dompen concession is subject to an order of interim injunction issued in December 2005, filed by the assignor of the license, the High Court of Ghana in Accra recently gave judgement in favour of Castle Peak and dismissed the action filed by the assignor of the license.

Critical’s March 24, 2010 news release is reproduced herein in its entirety. Critical has entered into a letter of intent (the “LOI”) dated March 17, 2010 and accepted on March 18, 2010 by Castle Peak Mining Ltd. (“Castle Peak”) (a private BC company), to purchase all of the issued and outstanding common shares of Castle Peak or otherwise complete a business combination with Castle Peak (the “Acquisition”).

Castle Peak, incorporated under the BC Business Corporations Act, currently holds interests in 232.72 km2 of exploration concessions in southwest Ghana. Castle Peak, either directly or through its wholly owned subsidiaries, own 100% of the interest to the Nkwanta, Asuogya, Ayiem, Esserman (Kedadwen / Essamang) and Dompen (WD II) prospecting licences for gold, diamond and base metals, with a 2.5% NSR to the vendor. Castle Peak also owns 90% of the interest of the Bonsaso (WD) prospecting licence, and an 82.5% interest in the Dompen prospecting licence.

The Acquisition, if completed, will constitute Critical’s “Qualifying Transaction” under the policies of the Exchange. The Acquisition is an arm’s length transaction and shareholder approval to the Acquisition will not be required by the Exchange.

The Acquisition

Under the terms of the LOI, Critical will acquire all of the issued and outstanding common shares of Castle Peak in exchange for the issuance of 18,000,000 common shares of Critical. Three individual shareholders together own 66.3% of the outstanding shares of Castle Peak – Randal Gindi, Jeffrey Shammah and Shimon Elbaz, all residents of New York. Upon completion of the Acquisition, Castle Peak will become a wholly-owned subsidiary of Critical. The LOI requires the transaction to close by September 30, 2010.

There are currently 4,500,000 Critical common shares issued and outstanding, as well as 200,000 common share purchase warrants and 450,000 stock options of Critical outstanding. Upon completion of the Acquisition, all Critical common shares to be issued to holders of Castle Peak shares upon completion of the Acquisition may be subject to resale restrictions under applicable securities laws and the policies of the Exchange, as applicable. In addition, all common shares held by Principals of Critical (as such term is defined in the policies of the Exchange) will be held in escrow in accordance with the policies of the Exchange.

Subject to all necessary approvals, Critical intends to change its name to “Castle Peak Mining Ltd.” or a similar name, effective upon the closing of the Acquisition.

Upon signing of the LOI, Critical has loaned $25,000 to Castle Peak. Subject to approval from the TSX Venture Exchange, Critical will loan to Castle Peak an additional amount of up to $60,000, to be advanced on April 15, 2010, May 1, 2010, June 1, 2010 and July 1, 2010. All loans do not accrue interest, are repayable upon closing or if the transaction is terminated and evidenced by promissory notes.

Proposed Private Placement

As a condition of the Acquisition, Critical is required to raise a minimum of $2,500,000 to a maximum of $4,000,000 at no less than $0.25 per share (the “Private Placement”).

The proceeds of the Private Placement will be used to fund the costs associated with completing the Acquisition, the proposed work program on the Ghana properties and for general working capital purposes. Critical may pay a finder’s fee as permitted by the policies of the Exchange.

Castle Peak’s Assets

Castle Peak’s concession areas are located in a favorable geological terrain for gold mineralization, with Upper Birimian metavolcanics and Lower Birimian meta-siliciclastics and occasional Tarkwaian meta-sediments. All the concession areas show evidence of the quartz vein-hosted or disseminated gold mineralization typical of the region.

There is a history of gold production on the Nkwanta and Kedadwen concessions, and exploration on the Nkwanta, Ayiem and Kedadwen concessions. In addition there are artisanal operations currently operating on the Nkwanta concession.

Exploration by Castle Peak over the past few years has revealed a number of stream sediment and soil geochemical anomalies that typically trend NE-SW to N-S and appear to correspond to quartz veins hosted within regional shear zones.

Target areas based on geochemical and geophysical anomalies have been identified on all concessions. On the Nkwanta concession an anomaly around the old Apankrah Mine is being followed up with trenching. Three N-S trending stream sediment anomalies (Asuogya East, West and South) have been identified on the Asuogya concession. On the Ayiem concession, the Ayiem Central stream sediment anomaly has been followed up with soil sampling. On the Kedadwen concession, follow up soil geochemistry over the Kedadwen Northeast stream sediment anomaly has identified two weak anomalies. On the Bonsaso concession, three NE-SW trending anomalies have been identified (Adieyie, Central and Bonsa).

All of the Castle Peak projects are at an early stage with no drilling having been completed on any of the concessions. However, they occur in an established gold mining region and there is evidence of previous or current artisanal production on some of the concessions. In addition, the results obtained to date by the stream sediment, soil geochemistry and trenching activities on all the concession areas suggest that the concessions have the potential to host gold mineralization of shear zone hosted quartz-vein associated type, typical of the region. An added advantage is the contiguous nature of some of the concessions, together with the availability of year round water, infrastructure and road access.

Castle Peak plans to carry out an exploration program, which includes further geochemical sampling, geophysical surveys, trenching and drilling. At this stage, the sampling undertaken by the exploration program would not be material in any resource estimate as no QA/QC procedures have been implemented at the sampling and assaying stage. Castle Peak has retained an independent geologist to prepare a geological report that is compliant with NI 43- 101.
