Ring the Bell Capital Corp. Announces Termination of Letter of Intent

NOT FOR DISSEMINATION IN THE UNITED STATES OR THROUGH U.S. NEWSWIRES

TORONTO, September 25, 2018 – Ring the Bell Capital Corp. (" RTB" or the " Corporation")

(TSX-V: RTB.P), a capital pool company pursuant to Policy 2.4 of the TSX Venture Exchange

(the “TSXV”) announces that its letter of intent (the " LOI") with Beadell Resources Limited

(ASX: BDR) has terminated.

The Corporation will continue to identify a nd evaluate other opportunities for the purpose of

completing a Qualifying Transaction under the CPC policy of the TSXV. Trading of RTB’s

common shares is expected to resume trading on the TSXV shortly.

About RTB

RTB is a capital pool company within the mean ings of the policies of the TSXV and does not

have any operations and has no assets other than cash. RTB’s business is to identify and evaluate

businesses and assets with a vi ew to completing a Qualifying Transaction under the policies of

the TSXV.
