ADELPHI METALS CLOSES OVERSUBSCRIBED PRIVATE PLACEMENT
VANCOUVER, BRITISH COLUMBIA — April 14, 2026 — Adelphi Metals Inc. (CSE: ADP) (the
"Company") announces that further to its press releases dated March 3rd, March 5th and March 20th,
2026, the Company has closed its oversubscribed non-brokered private placement. The Company issued
5,320,000 units (the "Units") at a price of $0.10 per Unit for aggregate gross proceeds of $532,000.
Each Unit is comprised of one common share ("Share") and one-half transferable common share
purchase warrant of the Company ("Warrant"). Each whole Warrant will entitle the Subscriber to
purchase one Warrant Share for a 24-month period after the Closing Date at an exercise price of $0.15
per share. The company paid cash finders' fees in connection with subscriptions to the offering totaling
$19,960 and issued 189,600 warrants.
Proceeds raised will be used for general working capital.
Shares issued pursuant to the Financing will be subject to a four-month hold period according to
applicable securities laws of Canada.
