AZINCOURT ENERGY ANNOUNCES PRIVATE PLACEMENT
Vancouver B.C., April, 22, 2020 - AZINCOURT ENERGY CORP. (“Azincourt” or the “Company”;
TSXV: AAZ) announces its intention to undertake a non-brokered private placement (the “Offering”) to
raise aggregate gross proceeds of up to C$1,000,000 . The Offering will consist of up to 10,000,000 no n-
flow-through units at a price of $0.05 per unit (th e “NFT Units”) and up to 9,090,910 flow through uni ts at a
price of $0.055 per unit (the “FT Units”).
Each FT and NFT Unit is comprised of one common sha re and one common share purchase warrant (a
“Warrant”). Each Warrant entitles the holder to pu rchase one additional common share for 5 years at a price
of $0.07 per common share.
Azincourt will apply the gross proceeds of the Offe ring to advance the Company’s projects and for gene ral
working capital purposes.
The Company may pay finders’ fees in connection wit h the Offering, in accordance with TSX Venture
Exchange policies. All securities issued under the offering will be subject to a four-month hold peri od in
accordance with applicable Canadian securities laws.
Closing of the private placement is subject to receipt of TSX Venture Exchange approval.
