AVVENTURA RESOURCES LTD. PROVIDES UPDATE ON NON-BROKERED
PRIVATE PLACEMENT

UNITED STATES.
Vancouver, British Columbia, July 21, 2026: Avventura Resources Ltd. (" Avventura" or the
"Company") (CSE: AA) announces that, further to its news release dated May 26, 2026, regarding its
previously announced non-brokered private placement (the "Offering"), the Company intends to continue
with the Offering.
The Offering remains unchanged and consists of a minimum of 10,000,000 units and a maximum of
15,000,000 units at a price of $0.10 per Unit, for gross proceeds of between $1,000,000 and $1,500,000.
Each Unit will consist of one common share of the Company and one common share purchase warrant.
Each whole warrant will entitle the holder to acquire one additional common share of the Company at an
exercise price of $0.14 per share for a period of 36 months from the closing date of the Offering.
The Company continues to expect the net proceeds of the Offering to be used for general working capital
purposes and to advance exploration activities on the Company's Horwood Property located near Timmins,
Ontario.
The Company cautions that grab samples are selective in nature and may not be representative of
mineralization on the property as a whole. Exploration on the Horwood Property remains at an early stage
and further work will be required to evaluate the property’s mineral potential.
Research Capital Corporation remains engaged as the Company's exclusive finder in connection with the
Offering pursuant to the previously announced terms.
The Offering is expected to close as soon as practicable following receipt of all necessary regulatory
approvals, including approval of the Canadian Securities Exchange. All securities issued pursuant to the
Offering will be subject to the applicable statutory hold period under Canadian securities laws.
