This press release is issued pursuant to Multilateral Instrument 62- 104 – Take-Over Bids and

Issuer Bids and National Instrument 62-103 – The Early Warning System and Related Take-Over

Bid and Insider Reporting Issuers.

January 13, 2024 – Barry Hartley announces that as of January 12, 2024 he no longer controls 10%

or more of the common shares (“Shares”) of Umdoni Exploration Inc. (the “Company”).

On February 12, 2024, the Company issued 10,000,000 Units at a price of $0.20 per Unit consisting

of 10,000,000 common shares (“Shares”) and 10,000,000 Share purchase warrants pursuant to a

financing (the “Financing”) and 7,000,000 Shares pursuant to an acquisition. Each Share purchase

warrant entitles the holder to purchase one Share at a price of $0.30 until February 12, 2026. As

a result of these Share issuances, Mr. Hartly no long controls 10% or more of the Shares of the

Company. He participated in the Financing and purchased 125,000 Units for the total consideration

of $25,000.

The Company currently has 25,969,449 S hares and 13,000,000 S hare purchase warrants issued

and outstanding. Mr. Hartly currently controls 1,453,782 Shares and 125,000 Share purchase

warrants representing approximately 5.6% of the outstanding Shares of the Company on a non-

diluted basis and approximately 4.05% on a fully diluted basis.

Mr. Hartley acquired the Shares for investment purposes. Mr. Hartley may from time to time

increase or decrease ownership or control of securities of the Company depending on market

conditions and/or other relevant factors.
