RESULTS OF ANNUAL GENERAL MEETING

July 11, 2011: Benzai Capital Corp. (TSX-V –BNZ.P) (the “Company” or “Benzai”) announces that at the annual general meeting of shareholders held July 8, 2011 the existing members of the Board of Directors were re-elected by a majority of the votes cast.

Following the meeting, Mr. Wayne McNeal resigned as a director and officer of the Company; such that the Board now consists of Dwayne Yaretz, Edward (Ted) Butterfield, Wing Wong, and Jeff Lightfoot. Wing Wong was appointed Chief Executive Officer and President; and Ted Butterfield remains as CFO.

The Board would like to sincerely thank Wayne McNeal for his past efforts with the Company, and to wish him all the best in his future endeavours.

The Board will continue to investigate business opportunities with a view to completing a Qualifying Transaction.
