Rock Tech Signs Definitive Agreement with Great Lakes Graphite
Vancouver, BC, Canada – March 4, 2014 – Rock Tech Lithium Inc. (the "Company" , or "Rock Tech") (TSX-V: RCK; Frankfurt: RJIA ) announces that it has signed a definitive agreement with Shield Gold Inc., operating as Great Lakes Graphite ("Great Lakes"), for a 100% interest in the Lochaber graphite project located in the Buckingham region of Quebec.
The terms of the agreement provide for Great Lakes to pay CAD$300,000 in cash and issue 11,495,213 of its com mon shares to Rock Tech . Further, Great Lakes will issue 3,504,787 common shares to an arm’s length creditor to Rock Tech, in exchange for the removal of any encumbrances placed on the property. This transaction is subject to satisfactory d ue diligence and TSX Venture Exchange approval. Upon closing of the transaction, Rock Tech will reserve the right to appoint one nominee to the board of directors of Great Lakes.
The Lochaber graphite property is located in the prolific Buckingham regi on of Quebec. During 2012, Rock Tech completed over 7,000 metres of drilling and seven trenches. The exploration program, focused solely on four of the originally acquired thirty -two claims, outlined two electromagnetic conductors. Both conductors were extensively drill-tested, with one extending along strike for 700 metres and the other for 600 metres. Both conductors remain open along strike and at depth, having been tested to a depth of 150 metres.
