advisory agreements between the Company and Luscar International Ltd. dated November 1, 2014 and April 1, 2015, and an advisory agreement between the Company and Haywood Securities Inc. dated August 10, 2015, the Company has issued the following securities in consideration of services provided or to be provided to the Company:

(1) Each “Unit” is comprised of one common share and one common share purchase warrant (a “Warrant”). Each Warrant is exercisable to acquire one common share of the Company on or before February 19, 2017 at an exercise price of $0.35.
(2) Of these Units, 300,000 have been delivered to Haywood Securities Inc. as of the date hereof, 250,000 will be held in escrow until February 18, 2016 and 250,000 will be held in escrow until August 18, 2016, subject to certain conditions.
All of the aforementioned securities are subject to a four-month hold period from the date of issuance.
