News Release 11-03 Early Warning Report
FOR IMMEDIATE RELEASE
James Frances Gerard Callaghan directly holds 3,781,940 common shares of Lions Gate Energy Inc. ("LG") and 63,095 common shares of LG through his RRSP. Mr. Callaghan also has control or direction over 15,550 common shares in LG in his wife's name, Elaine Callaghan RRSP (although he disclaims any beneficial interest in such shares). As well, Mr. Callaghan has control or direction over 138,000 common shares of LG held in the name of Barkerville Gold Mines Ltd., of which Mr. Callaghan is the President, CEO and a director and also 1,202,000 common shares of LG held in the name of Standard Drilling & Engineering Ltd. of which Mr. Callaghan is the President, Secretary and a director. All of the common shares held by Mr. Callaghan directly or indirectly, or over which he has control or direction represent approximately 18.79% of the outstanding common shares of LG.
As at July 26, 2011, LG had 27,664,752 common shares outstanding, of which Mr. Callaghan owned directly or indirectly or, exercised control or direction over 5,200,585 common shares and 401,190 warrants, representing a 19.96% interest, assuming the exercise of Mr. Callaghan's warrants.
The common shares of LG were acquired by Mr. Callaghan for investment purposes. Subject to the availability of securities exemptions, price, the general state of the capital markets and the financial condition of LG from time to time, Mr. Callaghan may purchase or sell securities of LG.
