EQUITORIAL ACQUIRES 45% INTEREST IN FIRST NEVADA MINING CORP.

Equitorial Exploration Corp. (the “Company”), is pleased to announce that it has acquired (the “Acquisition”) 45% of First Nevada Mining Corp. (“First Nevada”) pursuant to a share purchase and option agreement (the “Agreement”) with First Nevada, as more particularly described in the Company’s news release dated March 4, 2014.

As a result of the Acquisition, the Company received an aggregate of 11,843,453 common shares of First Nevada in exchange for issuing certain of First Nevada’s existing shareholders 5,000,000 shares (the “Consideration Shares”) in the capital of the Company, paying First Nevada $250,000 cash, and transferring title to the Company’s IGR 3000, 30 tonne per hour, modular, heavy mineral recovery plant to First Nevada. The Consideration Shares are being held in escrow pursuant to a voluntary escrow agreement, whereby 25% of the Consideration Shares will be released every six months, with the initial release of Consideration Shares to occur six months from closing of the Acquisition.

In connection with closing the Acquisition, the Company issued Canaccord Genuity Corp. 500,000 shares as a finder’s fee for introducing the Company to First Nevada, which shares are subject to applicable hold periods and resale restrictions.

The Company can increase its ownership in First Nevada to 49% by providing First Nevada with an additional $750,000 to be used for exploration and development. The Company also has a right of first refusal in the event that First Nevada receives any acquisition proposal from an arm’s length third party.
