Vatic Ventures Corp. Enters into Agreement to Acquire Oil and Gas Company

Vancouver, BC, April 9, 2015 - Vatic Ventures Corp (the "Company" or "Vatic") (TSX-V: VCV and Frankfurt: V8V) Vatic Ventures Corp. is pleased to announce that it has entered into an agreement (the “Agreement”), subject to regulatory approval, to acquire 100% of the issued shares (referred to as “quotas” under Italian law) of Italmin Exploration SRL (“Italmin”), a private Italian company that owns a 20% carried interest in two sets of oil and gas leases situated in Italy (collectively the “Properties”). Compagnia Generale Idrocarburi S.p.A. (“COGEID”), an Italian company, has entered into an agreement with Italmin which provides COGEID with the right to earn an 80% working interest in the Properties. The Properties are comprised of:

(i) Corana leases. Comprised of approximately 117,679 acres in the Western Po Valley basin which is prolific in oil, gas and condensate and in particular biogenic gas in the Plio- Pleistocene foredeep sequences which are targets in the permit. The Pliocene shales provide both source and seal, with bacterial activity starting right after deposition, while the sandy levels have good reservoir quality with expected average porosity of around 25% and average permeability above 100 mD. Other similar anomalies can be seen on the seismic lines at deeper depths and could be the object of further exploration but the acquisition of existing and/or new seismic lines would be required for a better definition.

(ii) Nusco leases. Comprised of approximately 172,603 acres in Southern Italy the permit contains two structures where the targets are the Apenninic thrust fronts piled on the Apulian platform which is also involved in the thrusting. This petroleum system has generated the largest and most prolific onshore fields in Europe, the Val D’Agri complex.

Pursuant to the terms of the Agreement Vatic is required to pay the equivalent value of 1,500,000 Euros (the “Purchase price”) to be comprised of 60,000 Euros in cash (the “Cash Component”) and 1,440,000 Euros comprised of 14,400,000 Vatic units (the “Units”) to be issued at a price of $0.10 per Unit with each Unit being comprised of one commons share of Vatic plus one share purchase warrant, each warrant being exercisable for three years at $0.10 per warrant to acquire a further common share of Vatic. Management believes that based on the corporate structure of Italmin and as a result of other transactions that may take place prior to closing, the Italmin acquisition will not result in a reverse takeover.

The Purchase Price is to be paid in tranches as follows:

a) on closing of the transaction (the “Closing”) 60,000 Euros and 25% of the Units (being 3,600,000 Units) to be delivered to the vendors of Italmin; and;

b) on Closing the remainder of the Purchase Price, to be subject to an escrow agreement (the “Escrow Agreement”), which will provide that:

i. 18.75% of the Units will be subject to escrow and released from escrow on granting of the pending Corana drilling authorization without the granting of the pending Nusco drilling authorization;

ii. a further 18.75% of the Units will be subject to escrow and released from escrow on granting of the pending Nusco drilling authorization whether or not the Corana drilling authorization is granted;

iii. a further 18.75% of the Units will be subject to escrow and released from escrow upon a drilling contract being entered into by COGEID that applies to Corana but excludes Nusco, and the drilling rig is in transit to the Corona drilling location;

iv. a further 18.75% of the Units will be subject to escrow and released from escrow upon a drilling contract being entered into by COGEID that applies to Nusco whether or not Corana is included and the drilling rig is in transit to the Nusco drilling location.
