ABODE MORTGAGE HOLDINGS CORP. PROPOSES SHARE CONSOLIDATION AND NAME CHANGE
Vancouver, BC, Canada – February 14, 2013 – Abode Mortgage Holdings Corp. (the “Company”) (TSX-V: ABD.H) announces that it will, at its annual general and special meeting scheduled on March 13, 2013, be seeking shareholder approval for a proposed consolidation (the "Consolidation") of its common shares ("Shares") on a basis of one (1) post-Consolidation Share for up to every one hundred (100) pre-Consolidation Shares. The Company currently has 116,999,872 Shares issued and outstanding, and assuming completion of the proposed Consolidation on the basis of one (1) post-Consolidation Share for every one hundred (100) pre- Consolidation Shares, the Company will have 1,169,999 Shares issued and outstanding. The Company also proposes to change its name to Ayubowan Resources Ltd. ("Name Change").
The reasons for the Consolidation are to increase the Company's flexibility and competitiveness in the market place and to make the Company's securities more attractive to a wider audience of potential investors. The Consolidation and Name Change remain subject to shareholder approval and all regulatory approvals, as applicable. The Company is currently seeking reinstatement of its listing on the NEX Board of the TSX Venture Exchange.
