NEWS RELEASE Ocean Park Enters Option Agreement on the Adelita Copper-Gold Project in Mexico
February 15, 2011 - Vancouver, B.C. Ocean Park Ventures Corp. ("Ocean Park" or the “Company” ) (TSX-V: OCP) is pleased to announce that it has signed an option agreement with Minaurum Gold Inc. (“MGG”) dated February 14, 2011 (the "Option"), to acquire an initial 51% interest in MGG's Adelita Copper-Gold Project (the "Property") in Mexico. Pursuant to the terms of the option agreement, the Company will pay $35,000 and issue 150,000 common shares to MGG upon receipt of applicable regulatory approvals.
The Property straddles the boundary between Sonora and Sinaloa States, Mexico, and lies just 6 kilometres east of Pan American Silver’s open pit Alamo Dorado silver mine. The geologic setting of the Property is broadly similar to that of Alamo Dorado (proven and probable reserves of 10 Mt of 95 g/t silver and 0.33 g/t gold) and the Piedras Verdes Porphyry Copper deposit (proven and probable reserves of 194 Mt of 0.36% copper), located 60 kilometres to the northwest.
A high grade copper-gold-silver skarn target was drill confirmed by Minaurum in 2010. Highlights include diamond drill holes CGDD-10-001, which returned 16.15 metres of 1.97% copper, 0.84 g/t gold and 73 g/t silver, and CGDD-10-002 which returned 47.64 metres of 0.98% copper, 0.46 g/t gold and 46 g/t silver. The skarn mineralization occurs near the edge of a 500 metre by 2,000 metre undrilled copper soil geochemical anomaly. Regional sampling and mapping of altered intrusive rocks suggests a possible buried porphyry system over a 3 square kilometre area.
Ocean Park will be Operator of the exploration program at Adelita. To maintain the Option and earn a 51% interest in the Property, Ocean Park must make cumulative exploration expenditures on the Property totalling $1,425,000 as follows: $475,000 by December 31, 2011 and $950,000 by December 31, 2012. In addition, the Company must issue an additional 350,000 common shares in 2011 and 450,000 in 2012. The Company must also make cash payments of $120,000 in 2011 and $220,000 in 2012.
After earning the 51% interest, the Company is required to issue a further 275,000 common shares in 2013 and make cash payments of $400,000 in 2013 and $100,000 in 2014.
After the Company has earned a 51% interest, it can elect to extend the Option and earn an additional 14% interest (total 65% interest) by making a cash payment of $150,000 and issuing an additional 250,000 common shares to MGG in 2013, with a further 200,000 common shares in 2014. The Company must also spend an additional $2,375,000 in exploration expenditures on the Property as follows: $950,000 by December 31, 2013 and $1,425,000 by December 31, 2014. To complete the exercise of this component of the Option, the Company must also complete and fund, prior to December 15, 2015, a prefeasibility study on the Property.

Once the 51% or 65% Option is exercised, Ocean Park and MGG will enter into a joint venture to further develop the Property, with each party contributing to their pro rata portion of the approved exploration program. If, at any time, a party’s interest in the joint venture is reduced to below ten percent, the other party may elect to acquire such party's remaining interest for a price of $1.5 million, payable in cash or common shares of the acquiring party.
Once the 65% Option has been exercised, the Company may earn an additional 10% interest, for a total 75% interest in the Property. To earn the additional 10% interest the Company must complete and fund, prior to December 31, 2018, a feasibility study on the Property. Ocean Park must also issue an additional 500,000 common shares to MGG.
The acquisition is subject to regulatory approval.
Subject to regulatory approval, Ocean Park has agreed to issue up to 204,107 common shares to Axemen Resource Capital Ltd. as a finder's fee in connection with the option agreement. A total of 115,714 shares would be issuable in the first year, with the balance being issuable throughout the course of the Option.
Adelita Property Background
The current underlying owner of the property recognized that high-grade mineral showings and widespread anomalous geochemistry on the property indicate excellent potential for additional discoveries in this demonstrably mineralized, but as-yet undrilled region. The main Adelita copper-goldsilver skarn zone saw minor exploitation prior to its acquisition by the current underlying owner in 1998. Rock-chip sampling of the Adelita skarn target in 1998 revealed a mineralized structural zone 600 metres long by 18 metres wide. Copper-gold-silver mineralization has now been drill tested by MGG’s 2010 exploration program, which confirms the presence of a downward-thickening, polymetallic mineralized skarn system that is open to expansion.
