FIRST RESPONDER ANNOUNCES BOARD AND
MANAGEMENT CHANGES
Vancouver, BC – March 30, 2021 – FIRST RESPONDER TECHNOLOGIES INC. ("FIRST
RESPONDER" or the " Company") (CSE: WPN | OTCQB: WPNNF | FWB: 3WK)
announces that its Chairman and Director Hon. Stockwell Day and Chief Executive Officer
Robert Delamar and Director Bob Dameron have res igned their positions with the
Company.
The Company has named Kal Malhi as CEO and Director, Michael Kelly as Director and
Michael Malana will remain with the Company in his position as CFO and Director.
The newly constituted management team has initiated a process to identify, examine and
consider a range of strategic alternatives available to the Company with a view to
enhancing shareholder value.
Strategic alternatives may include, but are not limited to, a sale of all or a material portion
of the assets of FIRST RESPONDER, either in one transaction or in a series of
transactions, the outright sale of the Company, or a merger or other business combination
transaction involving FIRST RESPONDER and a third party.
This strategic alternative review process has not been initiated as a result of receiving
any offer and there are no assurances that a transaction will be undertaken. It is FIRST
RESPONDER's current intention not to disclose developments with respect to the
process unless and until the Board of Directors has approved a specific transaction or
otherwise determines that disclosure is necessary or appropriate, or as required under
applicable securities laws. The Company cautions that there can be no assurances that
the process will result in FIRST RESPONDER entering into a transaction or, if a
transaction is undertaken, as to the terms or timing of such a transaction. The Company
has not yet set a definitive schedule to complete the identification, examination and
consideration of strategic alternatives.
