Resolve Ventures Inc. Closes Private Placement for $330,125
Vancouver, British Columbia, March 10, 2021 – Resolve Ventures Inc. ("RSV", "Resolve" or the "Company") (TSX Venture symbol: RSV) is pleased to announce that further to its price reservation, the Company has closed a Private Placement of 4,401,667 Units ("Units") at $0.075 per Unit for gross proceeds of $330,125. Each Unit is comprised of one common share at $0.075 per common share and one warrant exercisable at $0.10 per common share for two years from closing. A director of the Company acquired ownership of 200,000 Units of the Private Placement.
Aggregate finders’ fees totaling $15,510 in cash and 206,800 broker’s warrants will be paid to the following Agents on a portion of the funds raised.
Leede Jones Gable Inc., $3,000 and 40,000 warrants EMD Financial Inc.; $6,510 and 86,800 warrants Raymond James Ltd., $4,800 and 64,000 warrants IA Capital Markets Inc., $1,200 and 16,000 warrants
All brokers warrants issued have the same terms as the subscribers’ warrants. All securities issued are subject to a four month and a day hold period expiring and may not be traded until July 11, 2021. Use of proceeds will be for general working capital, accounts payable and to advance the Company’s projects. The Private Placement has received final acceptance from the TSX Venture Exchange.
