Annual General Meeting Results

The Company is pleased to announce that all resolutions put forward by management were passed by shareholders at the Company’s Annual General Meeting of Shareholders held December 28, 2012.

Directors elected for the ensuing year include incumbents Ralf Hillebrand, Mark Tommasi, and Marlowe Harvey, and new nominees, Jake Leavesley, Jeremy Bond and George Frangeskides.

Jake Leavesley, based in London, England, is a Solicitor and is currently a director of Avana Petroleum Limited, an oil and gas exploration group with assets in Kenya, the Seychelles and Madagascar.

Jeremy Bond, based in Sydney, Australia, is the fund manager for Terra Capital Natural Resource Fund (the “Fund”). The Fund is designed for investors seeking exposure to the micro cap natural resource sector. The Fund has been structured to maximize capital appreciation whilst maintaining appropriate levels of risk through a portfolio of small and mid capitalized stocks with high leverage to commodity prices and exploration success. The Fund aims to make investment decisions based predominately on the quality of each opportunity rather than any commodity preference.

Mr. Bond previously worked as a resource analyst for the RAB Special Situations Fund and Mr Leavesley worked as Legal Counsel at RAB Capital Limited (“RAB”). During their tenure at RAB, Mr. Bond and Mr Leavesley worked closely together on the structuring of investments and were responsible for managing a large basket of small to mid capitalization and private equity resource stocks. This required frequent interaction with the management of SHOSHONI GOLD LTD.

these companies as well as numerous site visits. During their time at RAB, Mr. Bond and Mr. Leavesley also developed a deep network of broker and promoter contacts throughout the world.

George Frangeskides has a broad range of experience gained from over 15 years in the legal and corporate advisory sectors in London and Sydney. Mr Frangeskides is Executive Director of Berwick Capital, a boutique corporate advisory firm which specializes in natural resources and which advises ASX and AIM-listed companies on transactions in the mining and oil and gas sectors. Mr. Frangeskides previously practised for several years as a corporate lawyer, including at international law firms Clifford Chance in London and Allens Arthur Robinson in Sydney. Mr Frangeskides is a non-executive director of Artemis Resources (ASX: ARV) and Metal Bank Limited (ASX: MBK).

Commenting on the new board members Ralf Hillebrand, President of the Company stated, “We are pleased to be able to attract Mr. Leavesley, Mr. Bond and Mr. Frangeskides to the Board of Directors of the Company, as they bring valuable international experience and potential contacts to the Company, the combination of which will allow the Company to take a world-wide view of potential acquisitions in the resource sector. We are confident that the Company’s association with the newly elected directors will lead to building value for the shareholders of the Company”.

The Company wishes to thank the retiring directors for their service to the Company over the years.

On behalf of the Board,

Ralf Hillebrand, President & CEO
