Resolutions at Annual General Meeting of
Shareholders and Management Changes

") is pleased to announce that its
shareholders approved all resolutions at its Annual General Meeting of Shareholders (the "Meeting")
held on June 29, 2021.
During the business proceedings of the Meeting, Spey's shareholders approved the following
resolutions:

Resolution to appoint 4 board members, with between 99.977 per cent and 99.999 per cent of
shares represented at the Meeting voting in favour of individual directors.

Resolution to appoint Manning Elliott LLP, Chartered Professional Accountants, as the Company's
auditors, with 99.979 per cent of the shares represented at the Meeting voting in favour of the
resolution.
The Company also announces that Abbey Abdiye has been appointed to the position of CFO, Corporate
Secretary and Director replacing Kelvin Lee who did not stand for appointment. Mr. Lee is transitioning
to pursue other interests. The Company wishes to thank him for his substantial contributions during his
term as a director and in the areas of financial management and reporting, audit preparation as well as
corporate governance and internal systems implementation.
Mr. Abdiye has extensive experience in the financial sector in both public and private companies.
He is a
Chartered Professional Accountant (CPA), and CFO of other reporting issuers, where he was
responsible for all financial, fiscal management, regulatory compliance matters and reporting aspects of
company operations. He also provided strategic guidance and direction in capital structuring and
engaged in innovative financing program that leveraged sales and development.
At Spey, Mr. Abdiye will provide leadership and coordination in the administrative, business planning,
reporting, and budgeting efforts of the company. He will oversee the company's financial reporting,
internal controls, corporate governance management systems, annual audit and regulatory compliance
matters. He obtained a Bachelor of Business Administration degree from Simon Fraser University and a
Co-op Education certificate.
