Financings Management Changes

Toronto, Canada, February 24, 2014 – Stroud Resources Ltd. (TSXV-SDR) (“Stroud”) announced today that it intends to proceed with a non-brokered private placement of 16% redeemable notes to raise gross proceeds of up to $1.0 million. The notes would mature one year from the date of issue and would bear interest at 16.0% per annum payable in arrears at maturity. The notes would also be redeemable, at the option of the holder, if not repaid with accrued interest at maturity, for a 2.5% direct interest in the mining claims constituting Stroud’s Hislop gold project located near Timmins, Ontario for each $50,000 principal amount of notes and accrued interest thereon redeemed. Net proceeds from the private placement are proposed to be used to satisfy outstanding debt obligations and for general working capital. The private placement is subject to all necessary regulatory approvals.

Stroud also announced that Mr. Kerry Smith has resigned as a director of the company to devote more time to his other business interests. Stroud wishes to thank Mr. Smith for his service on the board since April 2012. As previously announced, Stroud has initiated a search for qualified persons to join the board and management following the death of George Coburn. It is anticipated that changes to the board of directors will be implemented in conjunction with the completion of the note financing.
