Green Swan Capital Corp. Reports Letter of Intent with Tribal Medicinal Corporation

Mergers & Acquisitions

(Burlington, ON. November 4, 2015) Green Swan Capital Corp. (GSW: TSX-V) (“Green Swan” or “the Company”) announces that it has entered into a non-binding Letter of Intent with 3284733 Nova Scotia Limited operating as Tribal Medicinal Corporation (“TMC) to become involved in the legal marketing and distribution of cannabis in Canada, with the assistance of certain of Canada’s First Nations (the “Business Model”). TMC is a private Nova Scotia Corporation at arm’s length to Green Swan.

Subject to necessary approvals, and subject to final formal documentation, Green Swan and TMC will effect a share exchange with TMC (the “Share Exchange”). Green Swan shall purchase voting common shares from TMC’s treasury such that Green Swan on closing of the Share Exchange shall own 60% of TMC’s voting common shares (the “TMC Shares”). The consideration for the TMC Shares shall be a number of Green Swan common shares to be issued from Green Swan’s treasury, where that number is equal to the number of TMC Shares divided by $0.05 (the “Green Swan Shares”).

Green Swan and TMC shall work together to raise working capital, in either Green Swan and/or TMC, and shall use such proceeds in part to fund the Business Model and in part for Green Swan working capital (the “New Financing”). The New Financing may close in one or more traunches, with or without the assistance of a registrant.

It is the intention of Green Swan and TMC that TMC hold no more than 19.5% of Green Swan’s voting common shares and that Green Swan hold no less than 50% of TMC’s voting common shares, and as a result of those intentions and the New Financing some adjustment to the preceding formulae may be necessary.

Green Swan and TMC shall immediately negotiate towards more definitive documents appropriate for this form of transaction, including but not limited to a share purchase agreement and a TMC unanimous shareholder agreement, pursuant to which Green Swan shall have a call on all TMC common shares which it does not then own and TMC shall have a put to Green Swan for all TMC common shares which Green Swan does not then own.

On closing, as a finder’s fee, Green Swan shall issue 200,000 shares to ProEdge Media Corp. of Toronto, Ontario, which shares will likely be subject to escrow or hold periods imposed by regulators, and which entity is at arm’s length to Green Swan and to TMC.

Green Swan and TMC wish to close the Shares Exchange as quickly as possible following the receipt of all necessary board, shareholder and regulatory approvals, and following further due diligence by Green Swan on TMC and the Business Model and by TMC on Green Swan. Until closing, each of Green Swan and TMC shall be responsible for its own expenses and fees.

This announcement is further to Green Swan’s press release of August 29, 2014, and further to the directive issued by the shareholders at the Sept 10, 2015 shareholder meeting to diversify the Company’s business, including but not limited to the global cannabis and hemp industries.

Green Swan is continuing to search for and identify further hemp and cannabis opportunities in the services, facilities and structural industries that support the hemp and/or cannabis producers, and not on any primary producer. A diversification such as this, through TMC and other as yet unknown opportunities, incurs many varieties of risk, which Green Swan intends to mitigate by carrying out thorough due diligence review on all viable opportunities. These risks include but are not limited to legislative changes, electoral changes, First Nations sovereignty, pricing, enforcement, currency exchange, execution and the global economy. Other material risks, unknown to Green Swan at this time, may emerge during the ongoing search and due diligence process and, if so, Green Swan will disclose such risks in due course. Green Swan cautions investors that it is still in the early stage of exploration of potential opportunities and there can be no assurance that any such project, including but not limited to TMC, will be identified or completed. As yet, no estimate of time and cost to finalize any prospective diversification has been developed as Green Swan is at too early a stage in its due diligence process to be able to develop this information. Green Swan’s board, and possibly Green Swan shareholders, will have to approve any proposed diversification project and there is no assurance that such approval will be received. Green Swan will provide further updates on its growth and diversification plan as material opportunities arise.
