David Baker Files Early Warning Report
Vancouver, British Columbia… David Baker advises that he has acquired ownership and control of 1,000,000 common shares (the "Shares") of Resolve Ventures Inc. (the "Company") by way of the exercise of warrants previously issued by the Company. David Baker is the President and a director of the Company.
Prior to the transaction, David Baker had ownership and direct or indirect control over 1,980,000 common shares of the Company and warrants for the purchase of an additional 1,000,000 common shares of the Company (the "Warrants"), representing approximately 8.63% of the Company's issued and outstanding shares on a non-diluted basis or 12.45% of the issued shares calculated on a partially-diluted basis assuming the exercise of the Warrants.
After giving effect to the acquisition of the Shares, David Baker beneficially owns or controls, directly and indirectly, a total of 2,980,000 common shares of the Company, representing approximately 12.45% of the Company's issued and outstanding shares.
David Baker acquired the Shares for investment purposes. David Baker has no present intention to acquire further securities of the Company, although he may in the future acquire or dispose of securities of the Company through the market, privately or otherwise, as circumstances or market conditions warrant.
