Avalon Works Corp. Provides Annual General and Special meeting (the “AGM”) of Shareholders Results

Ottawa, Ontario – December 23, 2019 – Avalon Works Corp. (the "Company") is pleased to announce the results of its annual general meeting that was held on December 23, 2019 (the “Meeting”), the shareholders approved every resolution that were presented to them as part of the Management Information Circular that was sent to the Company’s shareholders and filed on SEDAR on December 2, 2019 (the “Information Circular”).

The Shareholders approved to set the number of Directors at six (6) for the ensuing year and approved the appointment of the following persons as Directors to serve until the next annual meeting of the shareholders:

Michael Paul Clemann;

Michel Lebeuf;

Andrew O’Neil;

Éric Latrémouille;

Véronique Laberge; and Sabrina Lesage.

In addition, the shareholders (i) approved and confirmed the appointment of Brunet Roy Dubé, CPA S.E.N.C.R.L. LLP. as independent registered accounting form for the ensuing year, (ii) approved and adopted the Audit Committee Charter, (iii) ratified the Company’s stock option plan (the “Plan”) and (iv) gave authority to the Company’s board of Directors, at its discretion, to give effect to the contemplated consolidation of all the issue and outstanding common shares of the Company on a basis of up to one (1) new common share of the Company for a hundred (100) existing common shares of the Company (the “Consolidation”).
