TRES-OR CLOSES FLOW THROUGH FINANCING, ANNOUNCES NEW FINANCING

Vancouver, B.C. – February 23, 2017 - Tres-Or Resources Ltd. (“Tres-Or”) (TSX-V: TRS) is announcing a proposed private placement (the “New Offering”) to raise up to $250,000 by the issuance of up to 5,000,000 units at a price of $0.05. Each unit will consist of one common share and one additional common share warrant for a period of two years from issuance at an exercise price of $0.08 per common share. There is an acceleration clause such that if the common shares trade at or above $0.20 per share for a period of 10 trading days during the last year of the warrant period, then the warrants must be exercised within 15 business days or they will expire.

Cash commission equal to 6.5 per cent of the gross proceeds raised and broker warrants in a quantity equal to 4 per cent of the aggregate number of units sold will be paid and issued. Each broker warrant will entitle the holder to purchase one common share of Tres-Or at a price of $0.06 each, at any time during the 24-month period following the closing of the New Offering.

The $150,000 flow-through private placement (the “FT Offering”) disclosed in a news release dated February 6, 2017 has closed. The 3,000,000 shares issued have a hold period expiring June 22, 2017.

Proceeds from the FT Offering and the New Offering will be used to advance the Company’s gold and diamond assets located in the Abitibi-Témiscamingue regions of northwestern Quebec and general corporate purposes.

The New Offering is subject to TSX Venture Exchange approval and is anticipated to close on or about March 31, 2017.
