ADVANCE NOTICE POLICY
The Board of Directors of Bitterroot Resources Ltd. (TSX-V: BTT) has approved an Advance Notice Policy (the “Policy”), effective December 31, 2013. The Policy requires that appropriate advance notice must be made to the Company and its shareholders when alternative nominations of candidates for election to the Board of Directors are made by shareholders of the Company. The Policy will apply to nominations which are not made pursuant to a proposal or a requisition of shareholders under the provisions of the British Columbia Business Corporations Act.
The Policy fixes a deadline of 10 days after the Company disseminates a notice of a shareholder meeting and record date in accordance with National Instrument 54-101, within which shareholders who hold at least two percent (2%) of the outstanding voting shares of the Company may submit directors nominations to the Company prior to any annual general meeting of shareholders or special meeting of shareholders at which directors are to be elected. The Policy also sets forth the types of information that a shareholder must include in the notice to the Company.
The full text of the Policy is available via SEDAR at www.sedar.com or upon request by contacting the Company at (604) 922-1351 or by e-mail at [email protected].
