NEWS RELEASE
PRIVATE PLACEMENT AND NEW DIRECTOR
Tres-Or Resources Ltd. (the “Company”) is pleased to announce the closing of the second and final tranche of the non-brokered private placement announced on December 31, 2009. The private placement consists of 1,566,666 units at a price of $0.12 per unit. Each unit consists of one flow-through common share and one half of one common share purchase warrant. The warrants will expire two years from the closing and each whole warrant will entitle the holder to purchase one common share of the Company at a price of $0.15 per share in the first year and at a price of $0.20 per share in the second year.
The securities issued in the private placement are restricted from transfer for 4 months, expiring May 1, 2010 with respect to the 1,066,666 units issued in the first tranche and May 29, 2010 as to the 500,000 units issued in the second tranche.
Proceeds from the private placement will be used in connection with the Company’s exploration properties in Ontario and Quebec.
Further, the Company is pleased to announce the appointment of Mr. Tony Chan to the Board of Directors of Tres-Or Resources Ltd. effective January 15, 2010.
