MARGAUX RED CAPITAL INC. NEWS RELEASE #918 – 1030 West Georgia Street TSX Venture Exchange Vancouver, BC V6E 2Y3 Trading Symbol: MXC.P

MARGAUX RED CAPITAL INC. PROVIDES UPDATE ON SHAREHOLDERS MEETING

April 15, 2014 – Vancouver, British Columbia – Margaux Red Capital Inc. (“Margaux” or the “Company”), a capital pool company pursuant to Policy 2.4 of the TSX Venture Exchange (the “TSX- V”), today announces that at the annual meeting held on April 14, 2014, shareholders of the Company passed a resolution to approve the application to list the Company’s common shares on the NEX board of the TSX-V. Pursuant to TSX-V Policy 2.4-Capital pool companies, the Company applied for a transfer from TSX-V to NEX and 50% of the seed shares purchased by non-arm’s length parties at a discount to the initial public offering price must be cancelled. Accordingly, 1,000,000 common shares of the Company held by non-arm’s length parties have been cancelled. These actions are the result of the Company’s inability to complete a Qualifying Transaction within the time period prescribed by the TSX- V. The TSX-V has advised that the transfer to the NEX application has been accepted and the Company’s symbol will change from MXC.P to MXC.H on NEX where the Company will remain suspended pending completion of a Qualifying Transaction (“QT”) or the termination of the existing QT to be reviewed by the TSX-V. The TSX-V has further advised that it will be issuing a bulletin on the transfer to NEX of the Company soon after this news release is disseminated.

In the December 24, 2013 press release, the Company announced that on December 17, 2013 it entered into an arm’s length binding letter of intent with Upriver Aquaculture Inc. (“Upriver”), a private Texas company, to acquire all of the issued and outstanding shares of Upriver. The proposed transaction will constitute the Company’s Qualifying Transaction under the policies of the TSX-V. Following completion of the Qualifying Transaction, it is anticipated that the resulting issuer will be a Tier 2 company.

The TSX-V has in no way passed upon the merits of the proposed transaction and has neither approved nor disapproved the contents of this press release.
