STEADRIGHT CRITICAL MINERALS ANNOUNCES PROPOSED ACQUISITION OF 1302990 B.C.

Muskoka, Ontario , May 28th, 2024 : Steadright Critical Minerals Inc . (the " Company") (CSE:SCM) is

pleased to announce that it has entered into an arm’s length share exchange agreement (the

"Agreement") dated May 2 7th, 2024, with 1302990 B.C. Ltd. ("BCCo") and the shareholders of BCCo

(collectively, the "Vendors"), pursuant to which the Company will acquire all of the issued and outstanding

shares in the capital of BCCo (the "Vendor Shares") from the Vendors (the "Acquisition"). BCCo is a private

company incorporated pursuant to the laws of the Province of British Columbia and owns a 100%

undivided interest in the Saint Gabriel Project (the "Property"). which is comprised of Silica based claims

in Quebec, Canada.

As consideration for the Acquisition, the Company shall : (i) issue the Vendors an aggregate of 5,500,000

common shares (each, a "Common Share") in the capital of the Company at a deemed price of $0.045 per

Common Share; and (ii) pay the Vendors, on a pro rata basis, an aggregate of $30,000.

Pursuant to the policies of the Canadian Securities Exchange (the "CSE"), the Acquisition and the issuance

of the Common Shares remains subject to receipt of all necessary corporate and regulatory approvals,

including the approval of the CSE. All Common Shares issued will be subject to a statutory hold period of

six months plus a day from the date of issuance in accordance with applicable securities legislation.

Steadright Critical Minerals Inc. is a mineral exploration company established in 2019. Steadright

currently holds an option on its RAM property near Port Cartier, Quebec within the Côte-Nord Region,

which is accessible by route 138. The RAM project is comprised of over 13,000 acres and located on a

Anorthositic complex that is in a highly prospective geological unit and historically been under explored

for Ni, Cu, Co and precious metals.
