NEWS RELEASE

RIPPER SHAREHOLDERS VOTE IN FAVOUR OF CHANGE OF CONTROL

Vancouver, BC, Canada – May 25, 2012 – Ripper Oil and Gas Inc. (the “Company”) (TSX‐V: RIP.H) is pleased to announce the results of its Special Meeting of Shareholders that was held on May 25, 2012. Shareholders of the Company have approved the change of control that is occurring as a result of the $600,000 financing (the "Financing") that closed on April 20, 2012. In addition, the shareholders approved the proposed continuance of the Company (the "Continuation"), which is currently governed by the Alberta Business Corporations Act, into British Columbia under the Business Corporations Act (British Columbia). The Continuation will take effect as of today.

The Company will complete the consolidation (the "Consolidation") of its shares on a 8 for 1 basis, effective at the open of market on May 29, 2012. The Company currently has 20,850,409 common shares issued and outstanding. On completion of the Consolidation, the subscription receipts relating to the Financing will automatically convert into 10,000,000 units (the "Units") of the Company, and the subscription funds will be released from escrow. Each Unit will consist of one post‐Consolidation common share and one share purchase warrant. Each share purchase warrant will be exercisable for one additional post‐Consolidation common share at a price of $0.10 per common share until May 29, 2013. The securities have a hold period expiring on August 21, 2012. At the open of the market on May 29, 2012, the Company will have approximately 12,606,301 post Consolidation common shares issued and outstanding. The Company will not change its name as part of the Consolidation, but will issue new share certificates under a new CUSIP number, which is 767557200. The post‐Consolidation common shares of the Company will trade on the NEX Board of the TSX Venture Exchange effective at the open of market on May 29, 2012, under the new trading symbol RYP.H.

Registered shareholders will receive a letter of transmittal from Alliance Trust Company, the Company's transfer agent, with information on how to replace their old share certificates with the new share certificates. Brokerage firms will handle the replacement of share certificates on behalf of their shareholders accounts.

The proceeds of the Financing, once released from escrow, will be used to settle current indebtedness and for working capital purposes.
